    Licensing Agreement

    O'Plérou Studio

    Effective Date: January 2026

    This License Agreement ("Agreement") is entered into between O'Plérou Studio ("Licensor") and the end user ("Licensee") upon acquisition of any licensed ivogram.


    1. DEFINITIONS

    1.1 Licensed Ivograms

    Ivogram designs and associated font software files provided by O'Plérou Studio.

    1.2 Licensor

    O'Plérou Studio, artist-led atelier creating digital sovereignty infrastructure, operated by O'Plérou Grebet.

    1.3 Licensee

    The individual or organization acquiring licensed usage rights to Licensed Ivograms.

    1.4 License Types

    Three license structures providing identical usage rights but differing in duration and payment:

    • Temporary License: Fixed 1-year term with one-time payment
    • Ongoing License: Continuous usage rights with annual renewal payments
    • Perpetual License: Permanent usage rights with one-time payment

    2. INTELLECTUAL PROPERTY & LICENSING

    2.1 Ownership

    Licensed Ivograms are licensed, not sold. Licensor retains all intellectual property rights, copyright, and ownership. Licensee acquires usage rights only as specified in this Agreement.

    2.2 License Grant

    Licensor grants Licensee a non-exclusive, non-transferable license to use Licensed Ivograms according to the license type acquired and company size selected.

    2.3 What Licensee Receives

    Licensed font files in OTF, WOFF, and WOFF2 formats.

    2.4 Per-Weight Licensing

    Each license covers one font weight. OS Kolia Regular, OS Kolia Medium, and OS Kolia Bold require separate licenses.


    3. USAGE RIGHTS & LICENSE TYPES

    3.1 USAGE RIGHTS (ALL LICENSE TYPES)

    All licenses—Temporary, Ongoing, and Perpetual—include identical usage rights.

    Permitted Uses:

    • Print materials
    • Digital graphics and assets
    • Social media content
    • Logo and brand identity
    • Video content
    • Self-hosted websites
    • App embedding (mobile and desktop applications)
    • eBook distribution and digital publishing
    • Self-hosted servers and cloud infrastructure deployment
    • Document embedding (PDFs, presentations)
    • Installation on all company devices
    • Upload to team collaboration tools (Figma, Canva) for internal use only

    Prohibited Uses:

    • Platform embedding where unlicensed users could access fonts (Canva public libraries, design template marketplaces, print-on-demand services, user-facing design tools)
    • Redistribution, resale, lending, trading, or transfer to third parties
    • Hardware or operating system embedding
    • Font file modification, renaming, conversion, decompilation, or reverse engineering
    • Political or religious use without prior written consent from O'Plérou Grebet
    • Purchase for resale purposes

    File Formats:

    OTF, WOFF, and WOFF2.

    Installation Scope:

    Unlimited installations within Licensee's organization plus one initial subcontractor working on Licensee's projects.

    3.2 LICENSE TYPES

    TEMPORARY LICENSE

    Duration: Fixed 1-year term from purchase date

    Payment: One-time licensing fee

    Expiration:

    License terminates at end of 1-year term. Licensee must cease all use and remove font files from all systems.

    No Renewal:

    To continue use after 1 year, acquire new license.

    ONGOING LICENSE

    Duration: Continuous (while annual renewal payments remain current)

    Payment: Annual recurring licensing fee

    Renewal:

    License automatically renews annually. Annual licensing fee charged on renewal date.

    Cancellation:

    Licensee may cancel at any time. Licensed access remains valid until end of current billing period, after which Licensee must cease all use and remove font files.

    Payment Failure:

    If annual payment fails, license enters Past Due status. Licensee has 7 days to update payment method before license expires.

    Notifications:

    Email reminders sent 30 days and 7 days before renewal date.

    PERPETUAL LICENSE

    Duration: Permanent

    Payment: One-time licensing fee

    Non-Transferable:

    License bound to original Licensee. Cannot be transferred, resold, or reassigned.

    Company Growth:

    If company size increases beyond licensed tier, upgrade required. Licensees who upgrade receive discount pricing in recognition of ongoing partnership and business growth. Contact founder@oplerou.studio for upgrade pricing.


    4. PLATFORM PROHIBITION & CULTURAL PROTECTION

    4.1 Platform Embedding Prohibition

    Licensee may not upload, embed, or make Licensed Ivograms accessible on any third-party platform where unlicensed users could access or use them.

    These ivograms are licensed Ivorian cultural artifacts. Platform prohibition protects the integrity and intentionality of how these cultural objects circulate in digital space.

    Prohibited platforms include:

    • Canva public libraries or shared team templates accessible to non-licensees
    • Design template marketplaces
    • Print-on-demand services where end users select fonts
    • User-facing web font services or CDNs accessible to public
    • Open-source repositories where files publicly accessible
    • Any platform where unlicensed third parties could download or use font files

    Permitted: Upload to Figma, Canva, or similar tools for internal team use only, provided access restricted to licensed employees and contractors.

    4.2 Violation Consequences

    Violation of platform prohibition results in:

    • Immediate license termination without refund
    • Financial penalty of 10× the original licensing fee per platform where Licensed Ivograms appear
    • Licensee must remove fonts from prohibited platforms within 48 hours of written notice

    4.3 Enforcement

    Licensor monitors for violations through platform searches, community reports, and compliance audits.

    Process:

    1. Written notice of violation within 7 days of discovery
    2. Licensee has 48 hours to respond
    3. Remediation period of 7 days may be granted at Licensor's discretion
    4. Failure to remedy results in penalty activation

    Penalties due within 30 days of notice.


    5. ATTRIBUTION

    5.1 Requirement

    When work using Licensed Ivograms is published or made public, Licensee agrees to credit "O'Plérou Studio" or "An O'Plérou Ivogram."

    Attribution keeps Ivorian cultural artifacts connected to their African source.

    5.2 Enforcement

    Attribution is cultural stewardship practice, not legally enforced through financial penalty.

    Pattern of non-attribution may affect future license approvals. Licensor may publicly identify Licensees not honoring cultural stewardship.

    5.3 Marketing Rights

    Licensor may feature Licensee's work using Licensed Ivograms in portfolio, website, and marketing materials once made public by Licensee.


    6. PRICING & COMPANY SIZE

    6.1 Company Size Tiers

    Licensing fees based on total company size (employees, contractors, consultants, freelancers, temporary staff):

    • XS: 1 person
    • S: 2-5 people
    • M: 6-15 people
    • L: 16-35 people
    • XL: 36-75 people
    • 2XL: 76-145 people
    • 3XL: 146-250 people
    • Ultra: 251-500 people
    • Custom: 500+ people (contact founder@oplerou.studio)

    6.2 Accurate Selection

    Licensee must select tier that accurately reflects company size at time of acquisition.

    6.3 GDP-Based Pricing

    Licensing fees adjust based on country purchasing power parity to ensure accessibility across economic contexts.

    European Union pricing standardized at median GDP-PPP as required by EU law.

    6.4 Upgrades

    If company size exceeds licensed tier, upgrade required. Contact founder@oplerou.studio.


    7. DESIGNERS, AGENCIES & CONTRACTORS

    7.1 Licensing for Clients

    Designers, studios, and agencies may acquire licenses on behalf of clients. Client becomes the named Licensee and owns the license.

    7.2 Separate Licenses Required

    Each client requires separate license.

    7.3 Installation Scope

    License valid within Licensee's organization plus one initial subcontractor.

    7.4 Contractor Liability

    If designer/agency acquires license for client, designer/agency responsible for ensuring compliant use. Violations arising from failure to communicate restrictions are designer/agency's liability.

    Designer/agency must provide written notice to clients of all usage restrictions.

    7.5 Client Protection

    Client not liable for contractor violations if client had no knowledge and did not instruct contractor to violate terms.

    If client becomes aware of violation, client must cease use immediately or acquire proper license.


    8. BREACH & TERMINATION

    8.1 Breach Conditions

    License terminates immediately if Licensee:

    • Violates platform prohibition
    • Redistributes, resells, lends, trades, or transfers Licensed Ivograms
    • Modifies font files without authorization
    • Uses beyond licensed scope or company size tier
    • Fails to pay renewal fees (Ongoing License)
    • Uses for political or religious purposes without written consent

    8.2 Termination Consequences

    Upon termination:

    • All usage rights cease immediately
    • Licensee must remove Licensed Ivograms from all systems within 7 days
    • No refund provided
    • Outstanding penalties due within 30 days

    8.3 Legal Action

    Licensor may pursue legal action for violations. Breaching party liable for damages, legal fees, and costs.


    9. TRIAL USE

    9.1 Personal & Private Use Only

    Trial versions may be used for personal and private evaluation only. Commercial, public, or client work prohibited without license.

    9.2 Trial Duration

    Trial period determined by Licensor. At end of trial, acquire license or remove font files.

    9.3 No Rights Granted

    Trial use grants no usage rights beyond personal evaluation. Trial users bound by same prohibitions on redistribution, modification, and platform embedding.


    10. FILE FORMATS & TECHNICAL

    10.1 Provided Formats

    OTF, WOFF, and WOFF2.

    10.2 Modification Prohibition

    Licensee may not:

    • Modify font file design or structure
    • Rename font files
    • Convert to other formats
    • Remove or alter embedded metadata
    • Decompile or reverse engineer

    10.3 Custom Work

    11. PAYMENTS & REFUNDS

    11.1 Payment Processing

    All transactions processed through Paddle.com, Merchant of Record.

    11.2 No Refunds

    Digital licenses are non-refundable.

    11.3 Currency

    Licensing fees listed in USD. Local currency conversion handled by Paddle.

    11.4 Failed Payments (Ongoing)

    If renewal payment fails, Paddle attempts payment 3 times over 7 days. After 3 failed attempts, license expires.


    12. SUPPORT

    12.1 Contact

    12.2 Scope

    Licensor provides support for licensing and technical questions at Licensor's discretion. No obligation to assist with installation, compatibility, or third-party software issues.

    12.3 Response Time

    Most inquiries responded to within 3-5 business days. No guaranteed response time.


    13. WARRANTIES & LIABILITY

    13.1 "As Is"

    Licensed Ivograms provided "as is" without warranty of any kind, including merchantability, fitness for particular purpose, or non-infringement.

    13.2 Risk

    All risk as to quality and performance rests with Licensee.

    13.3 Limitation of Liability

    Licensor not liable for lost profits, data loss, system failures, or consequential damages.

    13.4 Maximum Liability

    Licensor's total liability shall not exceed amount paid by Licensee for the Licensed Ivogram.


    14. UPDATES & MODIFICATIONS

    14.1 Font Updates

    Licensor may update or improve Licensed Ivograms at any time. Updates provided to active Licensees at Licensor's discretion.

    14.2 Agreement Modifications

    This Agreement may be modified at any time. Continued use constitutes acceptance of revised terms.

    Licensee responsible for reviewing Agreement at oplerou.studio/license-agreement.


    15. GOVERNING LAW

    15.1 Applicable Law

    This Agreement governed by laws of Côte d'Ivoire and international copyright conventions.

    15.2 Jurisdiction

    Disputes resolved according to Ivorian legal jurisdiction.


    16. SEVERABILITY

    If any provision deemed invalid, remaining provisions remain in effect.


    17. ENTIRE AGREEMENT

    This Agreement constitutes entire understanding between Licensor and Licensee and supersedes all prior agreements.


    18. ACCEPTANCE

    By acquiring Licensed Ivograms, Licensee affirms having read and agreed to all terms.

    Violation may result in license termination, financial penalties, and legal action.
